1. The Service

Keepi is a local-first companion that lets you capture voice notes, photos, screenshots and text, and helps organize them with AI assistance. Some features require an internet connection and third-party AI services to function.

2. Eligibility

You must be at least 13 years old (or the age of digital consent in your country) to use the Service.

3. Your content

You own the notes, recordings and other content you create ("Your Content"). We claim no ownership of it. You are responsible for Your Content and for ensuring you have the right to capture and process it.

By using AI features, you grant us and our AI provider the limited permission needed to transmit and process Your Content solely to provide those features to you (for example, transcription, categorization, search and chat). See ourPrivacy Policy for details.

4. Acceptable use

You agree not to use the Service to:

• store or process content that is unlawful, infringing, or that you have no right to use;
• attempt to reverse engineer, disrupt, overload, or abuse the Service or its backend (including the AI proxy and its rate limits);
• use it for any purpose that violates applicable law or the terms of our third-party providers.

5. AI output disclaimer

AI features (transcription, categorization, summaries, chat and assistant replies) are generated by automated models and may be inaccurate, incomplete or misleading. They are provided for convenience only and arenot professional advice (legal, medical, financial or otherwise). Always verify important information yourself.

6. Third-party services

The Service relies on third parties including Google (Gemini AI),Supabase (accounts & cloud sync), Vercel(AI proxy hosting) and OneSignal (notifications). Your use of those features is also subject to the respective providers' terms. We are not responsible for the availability or actions of third-party services.

7. Intellectual property

The Service itself, including the Memo character, branding, design and code, is owned by OrangeXLab and protected by applicable laws. These Terms do not grant you any rights to our trademarks or branding.

8. No warranty

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or uninterrupted availability.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential damages, or for any loss of data, arising from your use of the Service. You are responsible for keeping your own backups of important data.

10. Termination

You may stop using the Service at any time and delete your data. We may suspend or discontinue the Service, or any feature, at any time.

11. Changes to these Terms

We may update these Terms from time to time. Continued use after changes means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules.
